Important — Read Before You Use America Wallet
These Terms of Use (the "Terms") form a binding legal agreement between you and Meridian Digital Labs LLC, a Texas limited liability company ("Meridian Digital Labs," "we," "us," or "our"), governing your use of America Wallet (the "App") and any related services we make available (together, the "Services").
These Terms contain important provisions that affect your legal rights, including a binding arbitration clause, a class-action waiver, and significant limitations on our liability. Please read them carefully.
By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.
1. About America Wallet
1.1 What the App Is
America Wallet is a self-custodial mobile cryptocurrency wallet application. It allows you to generate and manage cryptographic keys on your device, view balances across supported blockchain networks, send and receive supported digital assets, and interact with selected third-party services such as fiat on-ramps and decentralized exchange aggregators.
America Wallet is free to download. We do not charge a subscription fee. We do charge a fee on certain transactions, disclosed in the App before you confirm, and described in Section 6.
1.2 What the App Is Not
America Wallet is software. It is not a bank, not a money transmitter, not a broker-dealer, not an investment adviser, and not a fiduciary. Meridian Digital Labs does not provide banking services, does not hold customer deposits, and does not issue any digital asset.
1.3 Self-Custodial Architecture
America Wallet is self-custodial. Your Secret Recovery Phrase and private keys are generated on your device and stored exclusively on your device. Meridian Digital Labs never has access to your Secret Recovery Phrase, never has access to your private keys, and never holds your digital assets. We cannot access, freeze, recover, or restore your wallet. If you lose your Secret Recovery Phrase or your device, we cannot help you recover your funds.
1.4 Supported Assets
As of the effective date of these Terms, America Wallet supports three digital assets: USD Coin (USDC), Tether (USDT), and Bitcoin (BTC) — each on a curated set of blockchain networks. We may add, remove, or restrict supported assets and networks at our discretion. Sending unsupported digital assets to an America Wallet address, or to an address on an unsupported network, may result in permanent loss of those assets. You are solely responsible for confirming that any asset you send or receive is supported.
2. Eligibility and Restrictions
2.1 Age
You must be at least eighteen (18) years old (or the age of majority in your jurisdiction, whichever is greater) to use the App. By using the App, you represent that you meet this requirement.
2.2 Capacity
You represent that you have full legal capacity to enter into these Terms and that doing so does not violate any other agreement to which you are a party or any law applicable to you.
2.3 Restricted Persons and Jurisdictions
You may not use the App if you are:
- A person or entity listed on the United States Treasury Department's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List, the Consolidated Sanctions List, or any equivalent list maintained by the United States government;
- Located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive United States sanctions, including as of the effective date Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine; or
- Otherwise prohibited from using the App under applicable law.
You represent and warrant that you are not a Restricted Person and that you will not access the App from a Restricted Jurisdiction. We may use technical measures, including IP-based geolocation, to enforce this restriction, and we may block access from jurisdictions we reasonably believe to be restricted.
2.4 Your Own Compliance
You are responsible for understanding and complying with the laws of your own jurisdiction as they apply to your use of the App and the digital assets you hold, send, receive, or trade — including tax, reporting, securities, and consumer-protection laws.
3. Your Wallet and Your Keys
3.1 You Control Your Wallet
When you create a wallet in the App, the App generates a Secret Recovery Phrase and a set of private keys on your device. You, and only you, have access to them. You are solely responsible for:
- Recording your Secret Recovery Phrase and keeping it confidential and secure;
- Safeguarding the device on which the App is installed;
- All activity conducted through your wallet, whether authorized by you or not;
- Confirming the accuracy of every transaction before you approve it, including recipient address, amount, asset, and network.
3.2 No Recovery by Us
If you lose your Secret Recovery Phrase, lose access to your device, or have your Secret Recovery Phrase stolen, we cannot recover your funds. We will never ask you for your Secret Recovery Phrase. Anyone claiming to represent America Wallet or Meridian Digital Labs who asks for your Secret Recovery Phrase is attempting to defraud you.
3.3 Irreversibility of Blockchain Transactions
Transactions on public blockchains are irreversible once confirmed. We cannot reverse, cancel, or modify a transaction once it has been broadcast. You are solely responsible for confirming transaction details before approval.
4. Third-Party Content and Services
4.1 In General
The App integrates with third-party services, protocols, and content that we do not control, including fiat on-ramps, decentralized exchange aggregators, lending protocols, and blockchain infrastructure providers (collectively, "Third-Party Services"). Your use of any Third-Party Service is at your own risk and is governed by that provider's own terms and privacy policies.
Meridian Digital Labs does not endorse, control, or assume responsibility for any Third-Party Service. We do not guarantee the availability, security, accuracy, or performance of any Third-Party Service, and we are not liable for any loss arising from your use of any Third-Party Service.
4.2 Specific Integrations (as of the Effective Date)
As of the effective date of these Terms, the App integrates with:
- Transak — a fiat on-ramp and off-ramp provider used for the Buy and Sell features. Transak performs its own identity verification and collects identification information directly from you.
- Decentralized exchange aggregators — used for the Swap feature to route trades across liquidity sources.
- Blockchain RPC providers — used to read blockchain state and broadcast transactions.
We may add, remove, or change Third-Party Services at our discretion. Future integrations may include lending protocols, perpetual trading venues, card issuers, and others. Each such integration will be governed by its own third-party terms.
4.3 No Responsibility for Smart Contracts
Some features of the App involve interaction with smart contracts deployed on public blockchains by third parties. Smart contracts may contain bugs, vulnerabilities, or exploits. Smart contracts may be upgraded, paused, or frozen by their operators. Meridian Digital Labs does not audit, endorse, or guarantee the security or correct operation of any third-party smart contract, and is not liable for any loss arising from the use of any smart contract accessed through the App.
5. Acceptable Use
You agree not to:
- Use the App in violation of any applicable law or regulation;
- Use the App to send, receive, or facilitate transactions involving proceeds of unlawful activity, including fraud, theft, money laundering, terrorist financing, human trafficking, sanctions evasion, or the sale of controlled substances;
- Interfere with, disrupt, or attempt to gain unauthorized access to the App, our infrastructure, or any Third-Party Service;
- Reverse engineer, decompile, or disassemble the App, except to the extent such activity is expressly permitted by applicable law or by an open-source license governing a component of the App;
- Use the App to violate the intellectual property or other rights of any third party;
- Impersonate Meridian Digital Labs or misrepresent your affiliation with us;
- Use automated means to access the App in a manner that imposes an unreasonable load on our infrastructure or that of any Third-Party Service;
- Attempt to circumvent the restrictions in Section 2.3 concerning Restricted Persons or Restricted Jurisdictions.
We may suspend or terminate your access to the App if we reasonably believe you have violated this Section.
6. Fees
6.1 Our Fees
The App is free to download and the core wallet functions — creating a wallet, holding assets, sending and receiving — are free to use. We charge a fee on certain transactions, most notably swaps, at the rate disclosed in the App before you confirm the transaction. The current fee rate at the time of writing is up to approximately 0.875% of the swap amount, subject to change. We may modify our fee rates at any time; the rate in effect at the time of your transaction is the rate displayed in the App.
6.2 Network Fees
All blockchain transactions incur network fees (commonly called "gas fees") that are paid to network validators or miners, not to Meridian Digital Labs. Network fees vary with network conditions and are displayed in the App before you confirm a transaction. You are responsible for paying network fees.
6.3 Third-Party Fees
Third-Party Services — including Transak, swap aggregators, and lending protocols — may charge their own fees. Those fees are disclosed by the relevant Third-Party Service, are paid to that third party, and are outside our control.
6.4 No Refunds
All fees charged by us are non-refundable once a transaction is submitted to a blockchain network, because blockchain transactions are irreversible. If a transaction fails on-chain and our fee was not charged, no refund is required; if a transaction fails on-chain after our fee was charged, we will use reasonable efforts to refund the fee, subject to verification.
7. Taxes
You are solely responsible for determining what, if any, taxes apply to your transactions in the App and for reporting and paying those taxes to the appropriate authorities. We do not provide tax advice. We do not prepare tax forms or tax reports for you, and we do not withhold taxes from your transactions.
8. Intellectual Property
8.1 Our Rights
Meridian Digital Labs and its licensors own all right, title, and interest in the App, the Services, and all related intellectual property, including the "America Wallet" name, logo, and trade dress (our "Marks"). Except for the limited license granted in Section 8.2, these Terms do not transfer any ownership rights to you.
8.2 License to You
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a device you own or control, solely for your personal, non-commercial use.
8.3 License Restrictions
You may not:
- Copy, modify, adapt, translate, or create derivative works of the App, except as expressly permitted by applicable law or by an open-source license governing a component of the App;
- Sell, rent, lease, lend, sublicense, distribute, or otherwise transfer the App to any third party;
- Remove or alter any proprietary notices, labels, or Marks in the App;
- Use our Marks without our prior written consent.
8.4 Open-Source Components
The App incorporates open-source software components that are licensed under their respective open-source licenses. A list of those components and the text of their licenses is available at americawallet.io/attributions. With respect to each open-source component, the applicable open-source license governs, and nothing in these Terms is intended to restrict any rights you have under that license.
8.5 Feedback
If you send us suggestions, ideas, or feedback about the App, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without any obligation to you.
9. Disclaimers and Assumption of Risk
9.1 "AS IS" Disclaimer
THE APP AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN DIGITAL LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, ACCURATE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION DISPLAYED IN THE APP, INCLUDING PRICES, BALANCES, AND TRANSACTION STATUSES.
9.2 Not a Bank; Not Financial Advice
America Wallet is software. Meridian Digital Labs is not a bank, is not licensed as a bank, does not provide banking services, and does not offer deposit accounts, checking accounts, savings accounts, or any other banking product. Digital assets held in America Wallet are not deposits, are not insured by the Federal Deposit Insurance Corporation (FDIC), are not protected by the Securities Investor Protection Corporation (SIPC), and are not insured or guaranteed by any government agency.
Nothing in the App, on our website, or in any communication from us constitutes investment, financial, legal, tax, or accounting advice. We do not recommend that you buy, sell, or hold any digital asset. You should consult your own qualified advisors before making any financial decision.
9.3 Risk of Digital Assets
You understand and accept that use of digital assets, including those supported by America Wallet, involves significant risk, including:
- Price volatility. Bitcoin and other digital assets are highly volatile. The value of your holdings can decline, rapidly and substantially, without warning.
- Stablecoin risk. USDC and USDT are designed to maintain a value of approximately one United States dollar but are not guaranteed to do so. Stablecoins have "depegged" in the past and may do so again. Stablecoin issuers may freeze, seize, or blacklist tokens at specific addresses in response to legal process, fraud investigations, or at their discretion. We do not issue or control USDC or USDT and are not responsible for their stability or for any action taken by their issuers.
- Smart contract risk. Interactions with smart contracts, including through swap aggregators and lending protocols, carry the risk of bugs, exploits, economic failures, and loss of funds.
- Network risk. Blockchain networks can become congested, fork, halt, or suffer consensus failures. Transactions may be delayed, fail, or be reorganized.
- Regulatory risk. Laws and regulations governing digital assets are evolving and vary by jurisdiction. New laws may restrict, prohibit, or tax your use of digital assets in ways that could cause loss.
- Custodial risk (you, the user). Because the App is self-custodial, you bear the full risk of losing your Secret Recovery Phrase, losing your device, or having your device or Secret Recovery Phrase stolen. We cannot recover your funds in any of these scenarios.
- Third-party risk. Third-Party Services integrated with the App may fail, be hacked, become insolvent, act fraudulently, or withhold funds. We do not guarantee the performance or security of any Third-Party Service.
You accept all of these risks. If you are not comfortable with them, do not use the App.
10. Limitation of Liability
10.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN DIGITAL LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS (TOGETHER, THE "MERIDIAN PARTIES") WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE MERIDIAN PARTIES TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS (US$100) OR (B) THE TOTAL FEES YOU PAID TO MERIDIAN DIGITAL LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Basis of the Bargain
You acknowledge that the limitations in this Section 10 are a fundamental basis of the bargain between you and Meridian Digital Labs, that we would not provide the App without these limitations, and that these limitations will apply even if a limited remedy fails of its essential purpose.
10.4 Jurisdictional Carve-Outs
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations in this Section apply to the maximum extent permitted by applicable law.
11. Indemnification
You will indemnify, defend, and hold harmless the Meridian Parties from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; (d) your interactions with any Third-Party Service; or (e) any content or information you submit through the App.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with our defense of such matter. You will not settle any matter affecting the Meridian Parties without our prior written consent.
12. Term and Termination
These Terms are effective when you first access the App and continue until terminated.
You may terminate these Terms at any time by ceasing to use the App and deleting it from your devices. Because the App is self-custodial, deleting the App does not delete your wallet; you can restore your wallet on another device using your Secret Recovery Phrase.
We may suspend or terminate your access to the App or the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the security or integrity of the App. Because the App is self-custodial, suspension or termination of your access to our Services does not prevent you from accessing your digital assets using your Secret Recovery Phrase in other wallet software.
Sections 3.2, 3.3, 4.1, 4.3, 6.4, 7, 8, 9, 10, 11, 13, 14, and 15 will survive any termination of these Terms.
13. Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
13.1 Agreement to Arbitrate
You and Meridian Digital Labs agree that any dispute, claim, or controversy arising from or related to these Terms or the App (each, a "Dispute"), other than those expressly excluded in Section 13.5, will be resolved exclusively through final and binding arbitration on an individual basis, and not in a court of law.
13.2 Arbitration Procedure
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The arbitration will be conducted by a single arbitrator. The seat of the arbitration will be [INSERT TEXAS COUNTY, e.g., Dallas County], Texas, though you may elect to participate remotely. The arbitrator will have exclusive authority to resolve any question concerning the scope, enforceability, or interpretation of this arbitration agreement.
13.3 Class-Action Waiver
YOU AND MERIDIAN DIGITAL LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding. If this Class-Action Waiver is found unenforceable, then the entirety of this Section 13 will be null and void, but the rest of these Terms will remain in force.
13.4 Informal Resolution First
Before commencing arbitration, you agree to first contact us at [INSERT LEGAL CONTACT EMAIL] with a written description of the Dispute and to attempt in good faith to resolve the Dispute informally for at least sixty (60) days.
13.5 Exceptions
This Section 13 does not apply to: (a) claims that qualify for small-claims court in a jurisdiction where both parties are subject to jurisdiction; (b) claims for injunctive or equitable relief to enforce intellectual-property rights; or (c) claims that applicable law prohibits from being subject to mandatory arbitration.
13.6 Thirty-Day Opt-Out
You have the right to opt out of this arbitration agreement. To opt out, send written notice to [INSERT LEGAL CONTACT EMAIL] within thirty (30) days after you first accept these Terms, stating your name and that you elect to opt out. Opting out will not affect any other provision of these Terms.
13.7 Costs
The allocation of arbitration fees will be governed by the AAA's Consumer Arbitration Rules. Each party will bear its own attorneys' fees unless the arbitrator determines otherwise.
14. Governing Law and Venue
These Terms, and any Dispute arising from or related to them or the App, are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and by applicable United States federal law, including the Federal Arbitration Act.
For any claim not subject to arbitration under Section 13, you and Meridian Digital Labs submit to the exclusive jurisdiction of the state and federal courts located in [INSERT TEXAS COUNTY], Texas, and waive any objection to venue in those courts.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies we reference in the App, are the entire agreement between you and Meridian Digital Labs concerning the App, and supersede all prior agreements, understandings, and communications, whether written or oral, concerning the same subject matter.
15.2 Changes to These Terms
We may modify these Terms at any time. If we make a material change, we will provide notice through the App or by other reasonable means and will update the "Last Updated" date at the top of these Terms. Your continued use of the App after the revised Terms take effect constitutes your acceptance of those Terms. If you do not agree to a revision, your sole remedy is to stop using the App.
15.3 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them, by operation of law or otherwise, without our prior written consent. Any purported assignment in violation of this Section is void. We may assign these Terms at any time, including in connection with a merger, acquisition, financing, or sale of assets.
15.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms, and the remaining provisions will remain in full force and effect.
15.5 Waiver
No failure or delay by us in exercising any right under these Terms is a waiver of that right. No waiver is effective unless in writing and signed by us.
15.6 Force Majeure
We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, civil unrest, epidemic, pandemic, labor disputes, power failures, internet outages, blockchain network congestion or failures, or acts of any government authority.
15.7 No Third-Party Beneficiaries
These Terms are between you and Meridian Digital Labs. No other person or entity is a third-party beneficiary.
15.8 Notices
We may provide notices to you through the App, by email, or by posting on our website. You must direct notices to us at [INSERT LEGAL CONTACT EMAIL] or at the registered address of Meridian Digital Labs LLC set forth below.

16. Definitions
For convenience, the following capitalized terms used in these Terms have the meanings given below:
- "App" means the America Wallet mobile application.
- "Dispute" has the meaning given in Section 13.1.
- "Marks" means the America Wallet name, logo, and trade dress and any other trademarks, service marks, or trade names owned by Meridian Digital Labs.
- "Meridian Parties" has the meaning given in Section 10.1.
- "Restricted Jurisdiction" means any jurisdiction described in Section 2.3.
- "Restricted Person" means any person described in Section 2.3.
- "Services" means the App and any related services made available by Meridian Digital Labs.
- "Supported Digital Assets" means the digital assets supported by the App from time to time, currently USDC, USDT, and BTC.
- "Third-Party Services" has the meaning given in Section 4.1.
